Dangote Refinery IPO Triggers Digital Investment Race as 10 Million Investors Targeted

The launch of Dangote Petroleum Refinery and Petrochemicals’ initial public offering has triggered a major push by digital investment platforms seeking to attract millions of retail investors into what is shaping up to be one of Africa’s biggest share offerings.

The ₦2.15 trillion IPO opened on Monday, with the refinery targeting as many as 10 million investors from Nigeria, across Africa and other eligible markets.

The company is offering 4.1 billion ordinary shares at ₦525 each, with investors able to subscribe for as few as 10 shares, requiring a minimum investment of ₦5,250.

The unusually low entry point and the ambition to attract millions of individual shareholders have placed digital platforms, banks, fintech companies and stockbrokers at the centre of the offering.

Transaction advisers said the distribution structure has been designed to allow investors to subscribe electronically rather than relying on the traditional process of visiting brokerage offices.

The digital approach is expected to significantly widen access to the Nigerian capital market, particularly for first-time investors who may previously have found share purchases difficult or inaccessible.

The target of 10 million investors would be about 20 times Nigeria’s current retail participation record of roughly 131,000 investors cited by the transaction advisers.

The scale of the target has consequently created intense competition among digital financial platforms seeking to participate in the distribution of the shares.

The offering is being supported by technology-driven systems linked to investors’ Bank Verification Numbers, while banks, fintech platforms, stockbrokers and other approved financial intermediaries are being used to reach potential shareholders.

The Nigerian Exchange’s digital investment infrastructure has also become an important part of the country’s recent efforts to increase retail participation in public offers. More than two million investors participated through digital channels during the banking-sector recapitalisation exercise between 2024 and 2026.

For Dangote, however, the massive investor target is not simply about raising money.

Aliko Dangote has said the company wants ordinary Nigerians and other Africans, including workers, drivers, small-business owners and professionals, to have an opportunity to own a stake in the refinery.

The public offer seeks to raise about ₦2.15 trillion, although the refinery has indicated that its planned expansion is already funded. The company intends to increase refining capacity from about 700,000 barrels per day to 1.4 million barrels per day by 2028.

The refinery’s IPO is also expected to deepen Nigeria’s capital market by moving a significant share of ownership from institutional and wealthy investors towards ordinary retail participants.

The offer includes an incentive programme for qualifying retail investors who maintain their shareholding for specified periods, further encouraging long-term participation rather than short-term trading.

The IPO is expected to run until October, after which the refinery’s shares are expected to be listed on the Nigerian Exchange, subject to the applicable regulatory requirements.

With millions of potential investors expected to use digital channels, the offering represents a major test of Nigeria’s ability to use financial technology to broaden public participation in the ownership of large businesses.

It also places the country’s digital investment ecosystem at the centre of what could become a landmark moment for retail investment and capital-market development.
