Italian technology company Bending Spoons has agreed to acquire digital collaboration platform Miro in an all cash deal valued at $1.36 billion, the companies said on Thursday.
The deal values Miro’s equity at about $1.79 billion when its net cash is included. The transaction is expected to be completed in the fourth quarter of 2026.
Miro has about $600 million in annual recurring revenue, with nearly 90% generated from business and enterprise customers, according to Bending Spoons CEO Luca Ferrari.
Some Miro shareholders have also agreed to invest $295 million of their proceeds in newly issued Bending Spoons shares.
The acquisition follows Bending Spoons’ purchase of software company Airtable for $1.29 billion in August, as the firm continues expanding through acquisitions and restructuring of digital businesses.
Miro provides online tools that help teams brainstorm, design products, manage projects and organize workflows.
