Analog Devices (ADI) has agreed to acquire Alif Semiconductor for $1.35 billion in cash, in a move aimed at strengthening its position in artificial intelligence and next-generation edge computing.
The deal will bring Alif’s AI-focused microcontrollers and fusion processors into ADI’s portfolio. Alif’s technology is designed for on-device AI, real-time sensor processing and low-latency inference, allowing devices to analyze information and respond locally without relying heavily on cloud infrastructure.
ADI said the combination will merge Alif’s digital processing capabilities with its own expertise in sensing, signal processing, power management, connectivity and software. The companies expect the technology to support applications spanning industrial systems, robotics, defense, energy, digital health, wearables and data-center infrastructure.
The transaction has been approved by both companies’ boards. ADI will pay $1.35 billion upfront, with the possibility of an additional $200 million in contingent payments. The acquisition is expected to close before the end of 2026, subject to regulatory approval and other customary closing conditions.
The acquisition highlights the growing competition around edge AI, as semiconductor companies increasingly seek to move artificial intelligence beyond data centers and into devices that can sense, process and respond to real-world conditions in real time.
