Sainsbury’s Held Merger Talks With Morrisons Before Walking Away

Britain’s second-largest supermarket chain, Sainsbury’s, held preliminary merger talks with rival Morrisons earlier this year over a potential multibillion-pound deal, but the discussions have since ended.

The talks took place between November 2025 and February 2026 before Sainsbury’s withdrew from the negotiations. The two companies have not ruled out the possibility of discussions restarting in the future, although there are currently no active talks.

A combination would bring together two of Britain’s major grocery retailers at a time when supermarkets are facing intense competition from discount chains such as Aldi and Lidl, alongside rising operating costs and pressure to keep food prices competitive.

Sainsbury’s is the UK’s second-largest grocer, while Morrisons ranks sixth. A combined business would command roughly 24% of the British grocery market, although it would remain behind market leader Tesco.

Any future attempt to combine the companies would likely attract close scrutiny from Britain’s competition authorities. Sainsbury’s previously sought to acquire Asda for £7.3 billion in 2019, but the proposed deal was blocked over concerns about its impact on competition.

Morrisons has been owned by private equity firm Clayton, Dubilier & Rice since its £7 billion acquisition in 2021.

The reported talks highlight renewed consolidation pressure in Britain’s supermarket industry as major retailers seek scale and stronger positions in a highly competitive market.
